Scale Main Services Agreement

The terms below (&ldquo;Product Terms&rdquo;) govern your use of the applicable Services and are incorporated in the <a href="https://scale.com/legal/msa">Scale Main Services Agreement</a> (the &ldquo;Agreement&rdquo;). Capitalized terms used in these Product Terms but not defined below are defined in the Agreement. Scale may modify these Product Terms periodically. If an update will materially affect Customer's use of the Services, Scale will notify Customer prior to the update's effective date (except for changes due to legal or regulatory reasons which may be effective immediately). Otherwise, updates will be effective as of the date posted on this website.

<li dir="ltr" aria-level="1">
Scale Model Services. The following terms apply to Customer&rsquo;s use of&nbsp; the Scale GenAI Platform, and any other service to which Customer may input Customer Materials to a machine learning model hosted by Scale (collectively, &ldquo;Scale Model Services&rdquo;):

<li dir="ltr" aria-level="2">
Use of Scale Model Services. Customer may input Customer Materials into the Scale Model Services and receive Output. Customer understands that other users may input similar materials and data into the Scale Model Services and receive similar output, and such output is not Customer&rsquo;s Output.&nbsp;
</li>
<li dir="ltr" aria-level="2">
Downloadable Models. Some Scale Model Services may allow Customer to download a machine learning model that has been fine-tuned through the Scale Model Services with Customer Materials based on a Base Model (such downloaded model a &ldquo;Fine-Tuned Model&rdquo;). Fine-Tuned Models are Output, and Customer will own the Fine-Tuned Model, subject to Scale&rsquo;s rights in, and Third-Party Restrictions on, the Base Model. Except for the rights expressly granted, and subject to Third-Party Restrictions, Scale owns and reserves all right, title, and interest in and to the Base Models. &ldquo;Base Model&rdquo; means a machine learning model which Scale has pre-trained, and may be based on Third-Party Models or proprietary Scale models.

<li dir="ltr" aria-level="2">
Trial Access to Scale Model Services. Customer may receive access to Scale Model Services on a trial or evaluation basis (&ldquo;Trial Access&rdquo;). Customer will not use Trial Access for commercial or production purposes and will not disclose to a third party any Output obtained from Trial Access. Customer acknowledges that Scale may terminate Customer&rsquo;s Trial Access at any time.

<li dir="ltr" aria-level="2">
Scale GenAI Platform Pay as You Go Tier. When using the pay as you go tier of the Scale GenAI Platform, Customer (i) agrees and instructs that Scale may publicly display and distribute the Customer Materials Customer inputs into, the Output Customer receives from, and the Customer Applications Customer creates using the Scale GenAI Platform , and (ii) agrees other users of the Scale GenAI Platform may use the Customer Materials Customer inputs into, the Output Customer receives from, and the Customer Applications Customer creates using the Scale GenAI Platform for any purpose, including commercial use. Customer may remove Customer Materials, Output, and Customer Applications from the Scale GenAI Platform at any time. Scale does not have any obligation to monitor Customer Materials, Output, or Customer Application on the Scale GenAI Platform, but Customer acknowledges and agrees that Scale reserves the right to, and may from time to time, monitor any and all information transmitted or received through the Scale GenAI Platform for operational or other purposes, and may remove any content that does not comply with Scale&rsquo;s terms or policies.&nbsp;

Scale Nucleus. The following terms apply to Customer&rsquo;s use of Scale Nucleus, and any other service with which customer can manage data (collectively, &ldquo;Scale Nucleus Services&rdquo;):&nbsp;

<li dir="ltr">Use of Scale Nucleus Services. Customer may (a) submit Customer Materials, including unlabeled data, metadata, and model predictions, and Output to Scale Nucleus, (b) create new materials, including labels, and add metadata, within Scale Nucleus (&ldquo;Customer Content&rdquo;), and (c) export Customer Materials, Output, and Customer Content from Scale Nucleus.&nbsp;</li>
<li>Customer Content. Customer will own Customer Content. Customer represents and warrants that (i) it has the necessary rights, licenses, and permissions to create the Customer Content, (ii) the use of Customer Content will not violate or infringe the rights of any third party, and (iii) Customer Content will comply with the Acceptable Use Policy. Customer agrees and instructs that Scale may use the Customer Content in order to provide and support the Services. </li>

<li>submitting or distributing viruses, worms, Trojan horses, corrupted files or other destructive content;</li>

<li>using any robot, spider, scraper, or other unauthorized automated means to access the Services;</li>

<li>&nbsp;</li>
<li>attempting to bypass, exploit, defeat, or disable limitations or restrictions placed on the Services; and</li>

<li>&nbsp;</li>
<li>finding security vulnerabilities to exploit the Services; and</li>

<li>&nbsp;</li>
<li>creating a false identity or any attempt to mislead others as to the identity of the sender or the origin of any data or communications;</li>

-to engage in or encourage any activity that is illegal, deceptive, fraudulent, or harmful of others&rsquo; rights, or harmful of Scale&rsquo;s business operations or reputation; or

<li>Rules, Regulations, and Conduct

<li>Conference Rules. You agree to abide by and comply with all applicable federal, state, local laws, regulations and ordinances, our policies and procedures as set forth herein, including our below Event Guidelines, as well as any policies or procedures that may be provided or explained to you at or prior to the Conference (collectively, &ldquo;Conference Rules&rdquo;).</li>
<li>Removal from Conference. If you are in violation of the Conference Rules, Event Guidelines, or we believe that you are behaving in an unsafe or careless manner while attending the Conference, you may be required to leave, we may terminate your account, and you may be barred from returning without any liability on our part.</li>

<li>Conference Schedule. Any information that we provide about the Conference schedule is non-binding and we reserve the right to modify the schedule and speakers at any time. Your registration for the Conference does not entitle you to attend any specific sessions and you agree that we shall have no liability to you if you are unable to attend any session. <li>Photography, Recordings and Conference Information

<li>Our Use of Photography and Recordings. We and third parties authorized by us may take photographs, video or audio recordings of the Conference, including of you (&ldquo;Conference Recordings&rdquo;). By being permitted to attend the conference (and without additional consideration), you (A) agree that we shall be the sole copyright owner of the Conference Recordings, (B) irrevocably and perpetually consent to the capture of your image, voice and likeness in the Conference Recordings and our right to use, reproduce, distribute, display and publish such Conference Recordings, in whole or in part, for any purpose, at any time and either directly or through any third party, (C) (on behalf of yourself and your successors and assigns) release us and all such third parties (and us and their respective successors, assigns, and licensees) from any and all liability, claims and causes of action you may have now or in the future with respect to the creation and any exploitation of the Conference Recordings, and (D) agree to pay any attorneys&rsquo; fee and costs incurred by us or the third parties if you institute any legal action based on or relating to any consent, waiver, release or other agreement you have given in this paragraph.</li>
<li>Your Use of Photography, Recordings and Conference Information. Without our prior written consent, you may not take, publish or disseminate photos, audio recordings and/or video recordings of the Conference or any of its attendees for commercial use, provided that the foregoing does not apply to your personal or internal business use.</li>

<li>Company and Speaker Information. We may identify your company as an attendee of the conference, and you agree you have the authority to provide Scale such right. If you are speaking at the event, you agree to share your headshot, company or affiliation, first and last name, and title on the conference website and in marketing materials.</li>
<li>Tickets
<ol style="list-style-type: lower-alpha;">
<li>Registration fees. Fees and other charges may be required in order to attend or participate in a Conference, and you may be asked to supply certain relevant information, such as your credit card number and its expiration date, your billing address and your shipping information. You represent and warrant that you have the right to use any credit card for which you provide any credit card information in connection with a payment transaction. By submitting such information, you grant to us the right to provide such information to third parties for purposes of facilitating payment transactions. Verification of information may be required prior to the acknowledgment or completion of any payment transaction. You will pay all fees and charges incurred by you or on your behalf in connection with a Conference, at the prices in effect and disclosed to you when such fees or charges are incurred. In addition, you are responsible for any taxes applicable to your payment transactions. Payments made for one Conference may not be applied toward the purchase of any other Conference, product or services.</li>
<li>Tickets. All ticket sales are final and non-refundable. Tickets are non-transferable and may not be assigned without our prior written consent (which may be withheld for any reason or no reason at all) and may only be used by the named individual who purchased the ticket according to our records. Any ticket substitution requests must be submitted to events@scale.com at least 30 days prior to the start of the Conference.</li>
<li>Cancellation by us. In the event that we cancel the Conference and do not reschedule for a date that is within 30 days of the originally posted Conference start date, we will refund the full registration fee within 90 days of the date of cancellation. For clarity, you agree that we are not liable to you or any third party for any costs or damages, direct or indirect, consequential, punitive, incidental, special or general resulting from any cancellation or rescheduling of the Conference, including without limitation any travel and accommodation costs.</li>

<li>Privacy. All digital data or information provided in connection with the Conference may be used (saved, stored, processed, transmitted and deleted) by us in accordance with our&nbsp;<a href="https://scale.com/legal/privacy" target="_blank" rel="noopener">Privacy Policy</a>, which is hereby incorporated by reference into these Terms.</li>
<li>Security. To ensure the safety of all attendees and participants of in-person Conferences, Scale reserves the right to take any security measures it deems appropriate. You will comply with all such security measures, including the following:

<li>You will wear your Conference badge in a clearly visible way at all times. You will not share or exchange your Conference badge with anyone else. Failure to comply with this requirement may result in confiscation of your Conference badge and termination of your attendance or participation in the Conference.</li>
<li>Bags may be checked upon entry and randomly during the Conference.</li>
<li>You will not leave any bags or other property unattended at any time. Unattended property may be removed.</li>
<li>Firearms and other weapons, explosives, and other hazardous materials or articles are prohibited at all times during the Conference (&ldquo;Prohibited Items&rdquo;). You will not bring or have in your possession any Prohibited Items during your attendance at the Conference.</li>
</ul>

<li>Limitation of Liability
<ol style="list-style-type: lower-alpha;">
<li>To the fullest extent permitted by law, in no event will Scale be liable to you for any indirect, incidental, special, consequential, or punitive damages in connection with the Conference, even if notified orally or in writing of the possibility of such damage. To the fullest extent permitted by law, the aggregate liability of Scale to you for all claims arising out of or relating to this Agreement, whether in contract, tort, or otherwise, is limited to the Conference registration fees, if any, paid by you and actually received by Scale for the Conference giving rise to the liability. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.</li>
<li>Each provision of these Terms that provides for a limitation of liability, disclaimer of warranties, or exclusion of damages is intended to and does allocate the risks between the parties under these Terms. This allocation is an essential element of the basis of the bargain between the parties. Each of these provisions is severable and independent of all other provisions of these Terms. The limitations in this Section 8 will apply even if any limited remedy fails of its essential purpose.</li>
</ol>

<li>Indemnification. You agree to defend, indemnify, and hold harmless us and our respective affiliates, directors, officers, employees, suppliers, vendors and agents from and against any and all claims or demands, including reasonable attorneys' fees, arising out of or connected to your attendance at the Conference or your violation of these Terms, applicable law, or any proprietary or privacy right of any other person attending the Conference.</li>
<li>Force Majeure. In the event that we are prevented from carrying out our obligations as a result of any cause beyond our control (including without limitation acts of God, changes in applicable law, war, acts of terrorism, disease or pandemic, airline flight cancellations, strikes, lock-outs, or failure of third parties to deliver goods and services) we shall be relieved of our obligations for as long as such cause preventing our performance persists.</li>
<li>Governing Law; Venue. These Terms are governed by and construed in accordance with the laws of California, without giving effect to any principles of conflicts of law. Any action arising out of or relating to these Terms must be filed in the state or federal courts for San Francisco County, California, USA, and you hereby consent and submit to the exclusive personal jurisdiction and venue of these courts for the purposes of litigating any such action.</li>
<li>Miscellaneous
<ol style="list-style-type: lower-alpha;">
<li>These Terms constitute the entire agreement between us and you with respect to the Conference and supersede all prior or contemporaneous communications and proposals, whether electronic, oral or written between you and us with respect to the Conference. If any provision of these Terms is held to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. Headings are for convenience only and have no legal or contractual effect.</li>
<li>We may modify these Terms and other terms related hereto (like our Privacy Policy) from time to time, by posting the changed terms on our website. All changes will be effective immediately upon posting to our website. Your attendance at the Conference means that you accept and agree to such changes. A provision of these Terms may be waived only by a written instrument executed by the party entitled to the benefit of such provision. Travel expenses. If you require air travel to attend the Conference, all airfare and flight reservations are your responsibility. We will cover the costs of the hotel, ground transportation, and food and beverage included with the conference program.

Cancellation by us. In the event that we cancel the Conference, we will cover any associated costs, except for airfare. For clarity, you agree that we are not liable to you or any third party for any costs or damages, direct or indirect, consequential, punitive, incidental, special or general resulting from any cancellation or rescheduling of the Conference, including without limitation any airfare or separate travel and accommodation costs.

Meal Requests. We make an effort to provide meals that accommodate attendees with a variety of dietary requirements, including vegetarian, vegan, gluten/dairy free, halal, and kosher. Special meals are available on a first-come, first-served basis, and quantities are limited. Special meal requests may not be available at all meals. When you arrive at a meal, you must make your special meal request known to a server who will review the available meal options.

These Event Terms and Conditions (&ldquo;Event Terms&rdquo;) apply to every person (&ldquo;you&rdquo;) who registers for and/or attends the AI Leadership Summit (hosted by Scale) (&ldquo;we&rdquo;, &ldquo;us&rdquo; or &ldquo;our&rdquo;), including in-person events (&ldquo;Conference&rdquo;). If you are registering for a ticket on behalf of your company or another legal entity, you represent that you have the legal authority to bind that entity to these Event Terms, in which case &ldquo;you" will mean the entity you represent. BY SUBMITTING YOUR REGISTRATION, PURCHASING A TICKET, OR BY OTHERWISE LOGGING ONTO THE CONFERENCE AND ACTIVATING YOUR PROFILE, you are agreeing to be bound by these Event Terms.&nbsp;

Conference Rules. You agree to abide by and comply with all applicable federal, state, local laws, regulations and ordinances, our policies and procedures as set forth herein, including our below Event Guidelines, as well as any policies or procedures that may be provided or explained to you at or prior to the Conference (collectively, &ldquo;Conference Rules&rdquo;).

<li dir="ltr" aria-level="1">
Chatham House Rule. The Conference will be held under the Chatham House Rule: When a meeting, or part thereof, is held under the Chatham House Rule, participants are free to use the information received, but neither the identity nor the affiliation of the speaker(s), nor that of any other participant, may be revealed. <li dir="ltr" aria-level="1">Removal from Conference. If you are in violation of the Conference Rules, Event Guidelines, or we believe that you are behaving in an unsafe or careless manner while attending the Conference, you may be required to leave, we may terminate your account, and you may be barred from returning without any liability on our part.</li>

Conference Schedule.

Any information that we provide about the Conference schedule is non-binding and we reserve the right to modify the schedule and speakers at any time. Your registration for the Conference does not entitle you to attend any specific sessions and you agree that we shall have no liability to you if you are unable to attend any session. Be aware that Conference sessions may become full-to-capacity and please plan your session attendance accordingly.&nbsp;

Photography, Recordings and Conference Information
<ol style="list-style-type: lower-alpha;">

Our Use of Photography and Recordings. We and third parties authorized by us may take photographs, video or audio recordings of the Conference, including of you (&ldquo;Conference Recordings&rdquo;), provided that we nor third parties authorized by us will not record sessions. By being permitted to attend the conference (and without additional consideration), you (A) agree that we shall be the sole copyright owner of the Conference Recordings, (B) irrevocably and perpetually consent to the capture of your image, voice and likeness in the Conference Recordings and our right to use, reproduce, distribute, display and publish such Conference Recordings, in whole or in part, for any purpose, at any time and either directly or through any third party, (C) (on behalf of yourself and your successors and assigns) release us and all such third parties (and us and their respective successors, assigns, and licensees) from any and all liability, claims and causes of action you may have now or in the future with respect to the creation and any exploitation of the Conference Recordings, and (D) agree to pay any attorneys&rsquo; fee and costs incurred by us or the third parties if you institute any legal action based on or relating to any consent, waiver, release or other agreement you have given in this paragraph.

Your Use of Photography, Recordings and Conference Information. Company and Speaker Information
</li>
</ol>
We may identify your company as an attendee of the conference, and you agree you have the authority to provide Scale such right. If you are speaking at the event, you agree to share your headshot, company or affiliation, first and last name, and title on the conference website and in marketing materials.&nbsp;

<li dir="ltr" aria-level="1">
Invitations, Travel, and Cancellation Policy
<ol style="list-style-type: lower-alpha;">
<li dir="ltr" aria-level="1">
Invitations. Invitations are non-transferable and may not be assigned without our prior written consent (which may be withheld for any reason or no reason at all) and may only be used by the named individual who was invited according to our records. Any invitation substitution requests must be submitted to events@scale.com at least 30 days prior to the start of the Conference.
</li>
<li dir="ltr" aria-level="1">
Travel expenses. If you require air travel to attend the Conference, all airfare and flight reservations are your responsibility. We will cover the costs of the hotel, ground transportation, and food and beverage included with the conference program.
</li>
<li dir="ltr" aria-level="1">
Cancellation by us. In the event that we cancel the Conference, we will cover any associated costs, except for airfare. For clarity, you agree that we are not liable to you or any third party for any costs or damages, direct or indirect, consequential, punitive, incidental, special or general resulting from any cancellation or rescheduling of the Conference, including without limitation any airfare or separate travel and accommodation costs.

<li dir="ltr" aria-level="1">
Meal Requests. We make an effort to provide meals that accommodate attendees with a variety of dietary requirements, including vegetarian, vegan, gluten/dairy free, halal, and kosher. While we will attempt to accommodate additional special requests, we cannot guarantee the ability to fulfill every request. Special meals are available on a first-come, first-served basis, and quantities are limited. Special meal requests may not be available at all meals. When you arrive at a meal, you must make your special meal request known to a server who will review the available meal options.

Privacy
</li>
</ol>
All digital data or information provided in connection with the Conference may be used (saved, stored, processed, transmitted and deleted) by us in accordance with our <a href="https://scale.com/legal/terms">Privacy Policy</a>, which is hereby incorporated by reference into these Event Terms.

<li dir="ltr" aria-level="1">
Security
</li>
</ol>
To ensure the safety of all attendees and participants of in-person Conferences, Scale reserves the right to take any security measures it deems appropriate. You will comply with all such security measures, including the following:

You will wear your Conference badge in a clearly visible way at all times. You will not share or exchange your Conference badge with anyone else. Failure to comply with this requirement may result in confiscation of your Conference badge and termination of your attendance or participation in the Conference.

<li dir="ltr" aria-level="1">
Bags may be checked upon entry and randomly during the Conference.
</li>
<li dir="ltr" aria-level="1">
You will not leave any bags or other property unattended at any time. Unattended property may be removed.
</li>
<li dir="ltr" aria-level="1">
Firearms and other weapons, explosives, and other hazardous materials or articles are prohibited at all times during the Conference (&ldquo;Prohibited Items&rdquo;). You will not bring or have in your possession any Prohibited Items during your attendance at the Conference.
</li>
</ul>

<li dir="ltr" aria-level="1">
Limitation of Liability
</li>
</ol>
To the fullest extent permitted by law, in no event will Scale be liable to you for any indirect, incidental, special, consequential, or punitive damages in connection with the Conference, even if notified orally or in writing of the possibility of such damage. To the fullest extent permitted by law, the aggregate liability of Scale to you for all claims arising out of or relating to this Agreement, whether in contract, tort, or otherwise, is limited to the Conference registration fees, if any, paid by you and actually received by Scale for the Conference giving rise to the liability. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.
Each provision of these Event Terms that provides for a limitation of liability, disclaimer of warranties, or exclusion of damages is intended to and does allocate the risks between the parties under these Event Terms. This allocation is an essential element of the basis of the bargain between the parties. Each of these provisions is severable and independent of all other provisions of these Event Terms. The limitations in this Section 8 will apply even if any limited remedy fails of its essential purpose.

Indemnification
</li>
</ol>
You agree to defend, indemnify, and hold harmless us and our respective affiliates, directors, officers, employees, suppliers, vendors and agents from and against any and all claims or demands, including reasonable attorneys' fees, arising out of or connected to your attendance at the Conference or your violation of these Event Terms, applicable law, or any proprietary or privacy right of any other person attending the Conference.

Force Majeure
</li>

In the event that we are prevented from carrying out our obligations as a result of any cause beyond our control (including without limitation acts of God, changes in applicable law, war, acts of terrorism, disease or pandemic, airline flight cancellations, strikes, lock-outs, or failure of third parties to deliver goods and services) we shall be relieved of our obligations for as long as such cause preventing our performance persists.

Governing Law; Venue
</li>
</ol>
These Event Terms are governed by and construed in accordance with the laws of California, without giving effect to any principles of conflicts of law. Any action arising out of or relating to these Event Terms must be filed in the state or federal courts for San Francisco County, California, USA, and you hereby consent and submit to the exclusive personal jurisdiction and venue of these courts for the purposes of litigating any such action.

Miscellaneous
</li>
</ol>
These Event Terms constitute the entire agreement between us and you with respect to the Conference and supersede all prior or contemporaneous communications and proposals, whether electronic, oral or written between you and us with respect to the Conference. If any provision of these Event Terms is held to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Event Terms and shall not affect the validity and enforceability of any remaining provisions. Headings are for convenience only and have no legal or contractual effect.
We may modify these Event Terms and other terms related hereto (like our Privacy Policy) from time to time, by posting the changed terms on our website. All changes will be effective immediately upon posting to our website. Your attendance at the Conference means that you accept and agree to such changes. A provision of these Event Terms may be waived only by a written instrument executed by the party entitled to the benefit of such provision. Our failure to exercise or enforce any right or provision of these Event Terms will not constitute a waiver of such right or provision.

Attributions for open source datasets made available in Scale Nucleus are available below. This document contains licensing information relating to the use of free and open-source software (FOSS) with or within the Scale Nucleus software. <h3 data-start="3016" data-end="3036">Our Supply Chain</h3>
Scale relies on two distinct types of supply chains.
Corporate and Engineering Supply Chain. This supply chain is similar to that of other comparable technology companies and supports our daily corporate and engineering operations. It consists primarily of professional services, office goods and services, and procurement of technology required to deliver our engineering services.
We assess this supply chain as presenting a very low risk.
Operational &ldquo;Human-in-the-Loop&rdquo; Supply Chain. This supply chain is part of our Data Infrastructure segment. It consists of the global community of contributors that generates, labels, annotates, and refines the high-quality data to train and evaluate AI models.
Contributors may access work through third-party Business Process Outsourcing (&ldquo;BPO&rdquo;) and other service providers engaged by Scale, as well as our own proprietary platforms such as Outlier.
This supply chain, which involves a large and geographically dispersed community of contributors, presents a relatively higher potential risk, compared to our Corporate and Engineering Supply Chain. We rate the risk in this area as low-to-moderate and apply enhanced due diligence and risk mitigation measures to manage it effectively.

<h3 data-start="4287" data-end="4303">Our Policies</h3>
Scale's commitment to integrity is anchored by foundational corporate policies.
The Scale AI Code of Ethics and Business Conduct, which applies to all our employees and our Board, is one of the ways we put our values into practice. Our commitment to integrity begins with complying with all laws and regulations where we do business and is centered around respect for the individual, with zero tolerance for any forms of discrimination and abusive behavior.
We extend these standards to our entire supply chain through the Scale Business Partner Code of Conduct, which draws upon internationally recognized standards to advance social and environmental responsibility. It sets high expectations regarding labor and human rights, particularly by:

preventing any form of involuntary labor, human trafficking, and underage labor;

<h3 data-start="5387" data-end="5408">Our Due Diligence</h3>
We focus our due diligence and risk management efforts primarily on our Operational &ldquo;Human-in-the-Loop&rdquo; Supply Chain.
We require strict adherence to our Business Partner Code of Conduct as a condition of engagement for our BPO and other service providers. This Code grants Scale the right to audit and assess partner operations to ensure compliance and provides for a corrective action process for any violations identified.
For our proprietary platforms, we conduct ongoing due diligence through platform-level controls and stakeholder engagement. For example:

we require contributors to be of legal working age and may require identity verification to prevent underage labor;
</li>

we partner with the Global Living Wage Coalition to conduct routine pay analyses and ensure fair and competitive compensation;

for projects evaluating potentially sensitive content for AI safety, our standard practice is to provide contributors with advance notice, allow them to decline participation in the project, and offer wellness resources;

we provide contributors with multiple channels for support, including 24/7 support teams and an anonymous hotline to report concerns.

The Tradewinds Solutions Marketplace is the DoD's digital environment of post-competition, readily awardable, technology solution pitch videos. The video solutions housed within the marketplace have been assessed and vetted through competitive procedures which satisfy the competition requirements of the Federal Acquisition Regulation (FAR), the Defense Federal Acquisition Regulation Supplement (DFARS), and the Statutes, Policies, and guidance applicable to the DoD's Other Transaction Authorities. Simply put: The video solutions are considered to have been competed for already and are awardable in a style similar to a Sole Source without the need for further justification.

The terms below (&ldquo;Product Terms&rdquo;) govern your use of the applicable Services and are incorporated in the <a href="https://scale.com/legal/msa" target="_blank" rel="noopener noreferrer">Scale Main Services Agreement</a> (the &ldquo;Agreement&rdquo;). Capitalized terms used in these Product Terms but not defined below are defined in the Agreement. Scale may modify these Product Terms periodically. If an update will materially affect Customer's use of the Services, Scale will notify Customer prior to the update's effective date (except for changes due to legal or regulatory reasons which may be effective immediately). Otherwise, updates will be effective as of the date posted on this website.
1. Scale Model Services. The following terms apply to Customer&rsquo;s use of Scale Spellbook, Scale Forge, Scale InstantML, Scale GenAI Platform, and any other service to which Customer may input Customer Materials to a machine learning model hosted by Scale (collectively, &ldquo;Scale Model Services&rdquo;):
a. Use of Scale Model Services. Customer may input Customer Materials into the Scale Model Services and receive Output. Customer understands that other users may input similar materials and data into the Scale Model Services and receive similar output, and such output is not Customer&rsquo;s Output.&nbsp;
b. Downloadable Models. Some Scale Model Services may allow Customer to download a machine learning model that has been fine-tuned through the Scale Model Services with Customer Materials based on a Base Model (such downloaded model a &ldquo;Fine-Tuned Model&rdquo;). Fine-Tuned Models are Output, and Customer will own the Fine-Tuned Model, subject to Scale&rsquo;s rights in, and Third-Party Material Restrictions on, the Base Model. Except for the rights expressly granted, and subject to Third-Party Material Restrictions, Scale owns and reserves all right, title, and interest in and to the Base Models. &ldquo;Base Model&rdquo; means a machine learning model which Scale has pre-trained, and may be based on Third-Party Models or proprietary Scale models.&nbsp;
c. Trial Access to Scale Model Services. Customer may receive access to Scale Model Services on a trial or evaluation basis (&ldquo;Trial Access&rdquo;). Customer will not use Trial Access for commercial or production purposes and will not disclose to a third party any Output obtained from Trial Access. Customer acknowledges that Scale may terminate Customer&rsquo;s Trial Access at any time.
d. Scale Spellbook Pay as You Go Tier. When using the pay as you go tier of Scale Spellbook, Customer (i) agrees and instructs that Scale may publicly display and distribute the Customer Materials Customer inputs into, the Output Customer receives from, and the Customer Applications Customer creates using Scale Spellbook, and (ii) agrees other users of Scale Spellbook may use the Customer Materials Customer inputs into, the Output Customer receives from, and the Customer Applications Customer creates using Scale Spellbook for any purpose, including commercial use. Customer may remove Customer Materials, Output, and Customer Applications from Scale Spellbook at any time. Scale does not have any obligation to monitor Customer Materials, Output, or Customer Application on Scale Spellbook, but Customer acknowledges and agrees that Scale reserves the right to, and may from time to time, monitor any and all information transmitted or received through Scale Spellbook for operational or other purposes, and may remove any content that does not comply with Scale&rsquo;s terms or policies.
2. Scale Rapid. The following terms apply to Customer&rsquo;s use of Scale Rapid, and any other service to which Customer may order Tasks (as defined below) on demand (collectively, &ldquo;Scale Rapid Services&rdquo;):&nbsp;
a. Use of Scale Rapid Services. Customers may submit labeling and annotation tasks based on Customer Materials (&ldquo;Tasks&rdquo;) to be completed by Remote Workers. Scale cannot control the quality of Output for Tasks, and is not responsible for the actions of Remote Workers performing Tasks. Customer agrees to accurately describe and provide instructions for Tasks.&nbsp;
b. Use Restrictions. In addition to the use restrictions on all Services in the Agreement, Customer may not (and will not allow any End User or third party to):

<ul>
<li>collect personally identifiable information from, or attempt to derive personally identifiable information about, Remote Workers without appropriate consent,</li>
<li>use Remote Workers to try to generate click-through traffic, or</li>
<li>use Remote Workers to promote a site, service, or opinion (e.g. don&rsquo;t ask Remote Workers to write fake reviews).</li>
</ul>
</li>
</ul>
3. Scale Studio. The following terms apply to Customer&rsquo;s use of Scale Studio, and any other service which Customer can use Scale technology to label and annotate Customer Materials (collectively, &ldquo;Scale Studio Services&rdquo;):&nbsp;
a. Definitions.

<li style="list-style-type: none;">
<ul>
<li>&ldquo;Studio Output&rdquo; means Output created by Customer&rsquo;s End Users using the Scale Studio Services.&nbsp;</li>
</ul>

</ul>
b. Use of Scale Studio Services. Customer&rsquo;s End Users may label and annotate Customer Materials using the tools provided through Scale Studio to create Studio Output. Scale cannot control the quality of Studio Output and is not responsible for the actions of Customer&rsquo;s End Users creating the Studio Output.&nbsp;&nbsp;
c. Studio Output. Customer will own Studio Output. Customer represents and warrants that (i) it has the necessary rights, licenses, and permissions to create the Studio Output, (ii) that the use of Studio Output will not violate or infringe the rights of any third party, and (iii) Studio Output will comply with the Acceptable Use Policy.&nbsp;
4. Scale Nucleus. The following terms apply to Customer&rsquo;s use of Scale Nucleus, and any other service with which customer can manage data (collectively, &ldquo;Scale Nucleus Services&rdquo;):&nbsp;
a. Use of Scale Nucleus Services. Customer may (a) submit Customer Materials, including unlabeled data, metadata, and model predictions, and Output to Scale Nucleus, (b) create new materials, including labels, and add metadata, within Scale Nucleus (&ldquo;Customer Content&rdquo;), and (c) export Customer Materials, Output, and Customer Content from Scale Nucleus.
b. Customer Content. Customer will own Customer Content. Customer represents and warrants that (i) it has the necessary rights, licenses, and permissions to create the Customer Content, (ii) the use of Customer Content will not violate or infringe the rights of any third party, and (iii) Customer Content will comply with the Acceptable Use Policy. Customer agrees and instructs that Scale may use the Customer Content in order to provide and support the Services.
